Since 1984 O'Keeffe & O'Malley, as Kansas City's premier merger and acquisition firm, has been representing business owners in helping them confidentially sell their business. We have assisted hundreds of business owners in valuing businesses, enhancing the value of businesses, preparing exit strategies, conducting acquisition searches and assisting with financing.

The businesses we work with are typically small to mid-size companies in the $2-$50 million range. Our clients are usually in the manufacturing, wholesale/distribution, and service sectors. Usually, selling a business is a once in a lifetime occurrence. Without professional advice and direction, business owners are often negotiating a substantial part of their net worth alone for the first time against experienced buyers.

O'Keeffe & O'Malley is committed to providing clients with first-hand knowledge of what they are getting into when financing, buying or selling a business. And our ultimate goal is to keep as much money in our clients' pockets as possible.

With our assistance our clients make their own informed decisions. The majority of our compensation is paid to us when - and only when - our client says to close the deal.

Mike O Malley

MICHAEL O’MALLEY

Since 1991, Mike has assisted business owners in developing and implementing exit strategies for their business.  Areas of expertise include:

  • Selling and merging a client’s businesses
  • Business Valuations
  • Enhancing the value of the business in preparation for selling
  • Negotiating transactions on client’s behalf
  • Securing financing for buyers to minimize or eliminate seller financing
  • Obtaining cash flow, asset based, mezzanine and venture capital financing for clients
  • Mentoring business owners
  • Conducting acquisition searches for clients
  • Identifying, screening and qualifying buyer prospects in a confidential manner
  • Developing confidential marketing strategies
  • Preparing offering memorandums to sell the business
  • Identifying tax and purchase price allocation strategies

Mike received his accounting degree from Wichita State University. He is a Certified Public Accountant. Prior to joining O’Keeffe & O’Malley in 1991, Mike gained valuable experience as controller of two Wichita based companies: Lodgistix, Inc., a computer software company servicing the hospitality industry and Big Cheese Pizza, a franchisor with over 150 restaurants. While in the accounting arena he directed all accounting functions, became fluent with many phases of business operations and handled the purchase and sale of numerous businesses.

Believing that good business practices include civic responsibility, Mike has been an active member in many community and professional organizations including: Board member and mentor in the Helzberg Entrepreneurial Mentoring Program, Rotary, Civil Service Commissioner, Association for Corporate Growth (ACG), and The Chamber of Commerce.




Mike McLain

MICHAEL MCLAIN

Michael W McLain, CPA/ABV, ASA is an expert in the areas of business valuation, stock option valuation, fair value measurement for financial reporting, asset impairment testing, damages and lost profits analysis and taxation. In the past 23 years, he has provided these services to public and privately held companies throughout the United States. His expertise has been sought after and utilized in valuation and investigation cases and he has provided his expertise on complex financial matters to attorneys, accountants, judges, and the FBI.

Mr. McLain has performed hundreds of valuations of privately held companies that conduct business in a wide variety of industries. His services are utilized for mergers and acquisitions, estate planning, ESOP transactions, buy/sell agreements, litigation, shareholder disputes, SEC disclosures, stock option pricing, and divorce. In addition, Mr. McLain has been selected to serve as a valuation expert in litigation cases. He has been qualified in various court jurisdictions in Kansas and Missouri.

Mr. McLain is an Accredited Senior Appraiser (ASA) with the American Society of Appraisers. He also holds the American Institute of Certified Public Accountants specialty designation of Accredited in Business Valuation (CPA/ABV). Mr. McLain is licensed as a CPA in Kansas and Missouri.

Prior to joining O'Keeffe & O'Malley, Inc., Mr. McLain's held the position of director of business valuations for the Kansas City office of a national accounting firm. In this capacity, he performed valuations of small to large companies and assisted those companies in related transactions and financial reporting. In addition, he has participated in tracing misappropriated funds, calculating damages and developing financial reports for civil litigation.

Mr. McLain is a 1987 graduate of the University of Northern Iowa with a major in accounting. Mr. McLain also holds a Master of Science degree in Taxation from DePaul University.

Tracy Christian

TRACY CHRISTIAN

Tracy Christian is a licensed CPA with 20+ years of experience assisting high-growth companies in a variety of consulting capacities. Since starting her own consulting practice in 1996, she has served businesses primarily in the manufacturing, airline and high-tech industries. Her consulting skills are focused on accounting, financial reporting and business processes and include:

  • Designing, updating and reviewing monthly financial statement reporting packages
  • Creating robust financial statement projection models for use in business plans, offering memorandums and due diligence analysis
  • Building sensitivity analysis models to aid management in cost-benefit decisions and/or assess profitability
  • Aiding with the creation of monthly budgets and cash flow projections
  • Analyzing business processes and recommending improvements to foster efficiencies and accuracy and increase value
  • Designing and performing due diligence procedures
  • Facilitating audit and tax procedures and relationships
  • Assisting in setting up accounting systems and implementing procedures for start-up businesses
  • Serving in a review capacity for in-house accountants and acting as a liaison to owners and management

Tracy received her accounting degree from the University of Tulsa where she graduated with honors in 1989. Prior to beginning her consulting practice, she worked as an audit manager for the international public accounting firm, Ernst & Young, LLP. While employed at E&Y, she was responsible for supervising staff as well as planning, organizing and administering all facets of audit engagements and other consulting projects for businesses in their Entrepreneurial Services Group.

Tracy is a member of the American Institute of Certified Public Accountants as well as the Missouri Society of CPAs. In her spare time as both an avid golfer and supporter of youth development, she serves as the Treasurer for the First Tee of Greater Kansas City and participates as a mentor in the chapter's mentoring program.

Don O Malley

DONALD O’MALLEY

Don works directly with business owners who are contemplating the sale of their business. He is fully responsible to his clients from the initial analysis of the company, to preparing the business for the M&A market, to composing and disseminating the Offering Memorandum which presents a historical overview of the company and builds a positive perception of its future potential. Then, also through his initiative, transactions move on to completion.

Don's experience uniquely qualifies him to represent clients in middle-market transactions. Since 1973 Don has been an owner of multiple businesses including radio stations, publishing companies and other service businesses. During this time he gained a thorough understanding of business management, finance, organization and the divestiture process. He has been both a buyer and a seller, giving him a unique perspective of both sides of a transaction.

Don's years of experience have given him a special understanding and appreciation of the financial and emotional issues owners face in managing and exiting their businesses.
